Terms of Use
By creating an account or using Memo, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
Memo provides tools for families to capture, organize, and revisit private memories (text, media, reminders, and related features) via mobile apps and backend services (the “Service”). Features may change as we improve the product. Beta or early-access features may be incomplete or unstable.
2. Eligibility & accounts
- You must be at least 18 years old (or the age of majority where you live) to create a Memo account.
- You are responsible for accurate registration information and for keeping your password confidential.
- You are responsible for activity under your account, including caregiver devices you authorize.
- Notify us promptly at hello@adamcodes.ltd if you suspect unauthorized access.
3. Family spaces & devices
A parent or account owner may invite family members and generate time-limited device join codes. Device sessions may be limited to specific children and may have restricted permissions (for example, no delete). You agree to:
- Only invite people you trust with family memories
- Revoke access when a caregiver or device should no longer have access
- Not share join codes publicly or with unauthorized parties
4. Your content
You retain ownership of content you submit (“User Content”). You grant Memo a limited, worldwide, non-exclusive license to host, store, process, transmit, and display User Content solely to operate and improve the Service for you and your family.
You represent that you have the rights needed to upload User Content, including rights to photos of family members and any third-party material you include.
We may remove content that violates these Terms or applicable law. Back up important memories; the Service is not a substitute for independent archival storage.
5. Acceptable use
You agree not to:
- Use Memo for unlawful, harmful, harassing, or exploitative purposes
- Upload illegal content, malware, or content that infringes others’ rights
- Attempt to access other families’ data or probe the Service without authorization
- Interfere with or disrupt servers, security, or other users
- Resell, scrape, or reverse engineer the Service except where permitted by law
- Misrepresent your identity or relationship to a child or family
6. AI features
Optional AI tools are assistants only. They are not medical devices and do not provide professional medical, legal, financial, or therapeutic advice. Always use your own judgment and consult qualified professionals for health or safety decisions.
7. Subscriptions & trials
Some features may be free; others may require a paid plan. If you purchase through the Apple App Store (or another storefront), billing, renewal, and cancellation are governed by that storefront’s terms and your account settings there. Taxes may apply. Free trials convert to paid subscriptions unless canceled according to the storefront rules.
8. Intellectual property
Memo, its branding, software, and design are owned by us or our licensors. These Terms do not grant you rights to our trademarks or source code beyond the limited right to use the Service as provided.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMO AND ITS PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50, IF YOU HAVE NOT PAID.
Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent permitted.
11. Suspension & termination
You may stop using Memo and request account closure. We may suspend or terminate access if you violate these Terms, create risk, or if we discontinue the Service. Provisions that by nature should survive (including IP, disclaimers, and liability limits) will survive termination.
12. Governing law
These Terms are governed by the laws of the jurisdiction in which the Memo operator is established, without regard to conflict-of-law rules, except where mandatory consumer protections of your country of residence apply. Courts in that jurisdiction will have exclusive venue, subject to applicable consumer rights.
We may update these Terms by posting a revised version. Continued use after the effective date constitutes acceptance, except where local law requires additional consent.
